Gene Hoffman, Jr.
Chairman and Chief Executive Officer
Prior to Vindicia, Gene co-founded eMusic in January 1998 and served as President, Chief Executive Officer, and a Director.
As head of eMusic, Gene was featured on the cover of Forbes Magazine as a member of the July 1999 E-Gang, and named one of
the 100 most influential entrepreneurs in technology in Upside Magazine's November 2000 Elite 100. Gene led the
acquisition of eMusic by Vivendi/Universal in June 2001.
Before founding eMusic Gene was Director of Business Development and Director of Interactive Marketing of Pretty Good Privacy.
Gene joined Pretty Good Privacy after it acquired PrivNet, Inc., an Internet privacy software company, where he was co-founder,
Director and Executive Vice President.
Charles Breed
Vice President, Corporate and Business Development
Charles joins Vindicia from SAP / Business Objects, where he served as Vice President of Corporate Development and
Global Licensing. In this role he was responsible for third-party strategic transactions to enable new products to
grow revenue via technology partnerships. Charles has over 20 years of experience in creating revenue growth and
market expansion through inorganic methods, including mergers & acquisitions, OEM, licensing, joint ventures and
IP asset purchase. He served as Senior Director of Business Development and M&A at Symantec and held various
technical and marketing positions at Hewlett-Packard and Cisco.
Charles holds an MBA from University of the Pacific and a Bachelors degree from University of San Francisco,
and is a Certified Information Systems Security Professional (CISSP).
Mark B. Elrod
Executive Vice President of Engineering
Prior to founding Vindicia, Mark served as Vice President of Engineering and Business Development for ETP, Inc.
and was a co-founder of LiquidMetal Consulting, providing time-critical engineering design and development resources
to online media companies.
Before LiquidMetal, Mark was a founding member and technical lead for FreeAmp.org, a non-profit, open-source media development
organization sponsored by eMusic. Mark came to eMusic from PGP/Network Associates where he led the Windows client development
for their flagship encryption product after joining the team through the merger of PGP and PrivNet, an Internet privacy software
company, where he was co-founder, Director and Vice President of Engineering.
Kris Nagel
Senior Vice President, Worldwide Field Operations
Kris has 20 years of sales, sales management and executive experience, providing organizational leadership in the
enterprise software and telecommunications industries. He has extensive experience in the billing and customer
care market including senior management positions with Portal Software and CSG Systems.
Prior to joining Vindicia, Kris was vice president of sales at Mu Security and SS8 Networks where his responsibilities
included overall management of the global sales force and channel partners for each company. Previously he had held
positions of increasing importance in sales management, culminating in his appointment as vice president and general
manager of the Americas for Portal Software. Kris began his career at Apple Computer and has also held sales and sales
management positions at Traverse Networks and CSG Systems.
Mark Resnick
Chief Operating Officer and Chief Financial Officer
Prior to joining Vindicia, Mark served as the Chief Operating Officer and Chief Financial Officer of Transera Communications, Inc.,
an enterprise-class on-demand contact center software company. He also was the Chief Financial and Chief Operating Officer of
Coremetrics, Inc., a leading on-demand web analytics and marketing optimization solutions company. Before joining Coremetrics,
Mark was the Chief Financial Officer of CrossLogix, Inc., an enterprise-class software provider that developed sophisticated software
access management to web and legacy applications. While there, he was an integral member of the team that negotiated the sale of
CrossLogix to BEA in February 2003. Mark also has held positions as the Vice President, Finance and Administration at Method Networks
– a company that automated and managed Internet site infrastructure operations; and as the Corporate Controller, Director of
Finance and Treasurer at ProBusiness Services, Inc. (formerly NASDAQ: PRBZ; sold to ADP), a leading provider of comprehensive
administrative outsourced services to large employers nationwide. Mark began his career in Silicon Valley at Coopers and Lybrand LLP,
where he earned a credential as a Certified Public Accountant.
Mark holds a Bachelors degree in Law and Economics from the University of California, Berkeley.
Sanjay Sarathy
Senior Vice President of Marketing
Before joining Vindicia, Sanjay was CEO at Above All Software, which offered products for developing composite applications.
He started his marketing career at NetDynamics, an application-server pioneer. After Sun Microsystems acquired NetDynamics
in 1998, Sanjay joined Sun, where for over six years he held various marketing leadership positions, the latest of which as
the head of Sun Developer Network, Sun's developer program. Earlier at Sun, he led the product marketing efforts for its
application server, integration server, and Web server.
Sanjay holds a Bachelor of Arts degree in Quantitative Economics from Stanford University and a Master of Business Administration
degree from the University of California at Berkeley.
Doug Smith
Senior Vice President, Client Services
Doug has over 20 years of experience in technology development and professional services in enterprise software and telecommunications.
His primary areas of focus are professional services practice development and enterprise-scale integration strategy.
Prior to joining Vindicia, Doug was responsible for technology assessment and product portfolio strategy for Openwave Systems in the
Office of the CTO. Before Openwave, Doug was a regional CTO for Portal Software, where he led relationships with strategic accounts
in both professional services and product technology. He also drove the company's product shift from Internet billing into the
telecom carrier market. Previously Doug worked in Accenture's telecommunications practice, delivering billing and customer care
platforms for major clients both domestically and internationally. Doug also has also led technology development at several early-stage
start-ups.
Doug has a Bachelor of Science degree in Computer Science from Purdue University.
Brett A. Thomas
Chief Technology Officer
Before Vindicia, Brett was Executive Vice President of Technology for eMusic, joining Gene shortly after the company was founded.
While at eMusic, Brett led a team of sixty-five employees and oversaw the technical integration of several geographically diverse
enterprises utilizing multiple platforms.
Brett has been a professional software developer since 1989, and has management, contract and technical experience through roles
at Network Associates, PGP, NCR, MCI and IBM. Brett has particular expertise in the design and implementation of high transaction
volume e-commerce systems, large-payload download infrastructures, conversion of paper documents to electronic formats, encryption
and security.
