Legal Counsel, Commercial

We are seeking an experienced and sophisticated technology attorney to support commercial transactions for the company from our headquarters in San Mateo, California. You will report directly to the Divisional Lead Counsel, Amdocs SaaS/Design Division, and, alongside the Lead Legal Counsel for Vindicia, be responsible for handling Vindicia’s inbound and outbound domestic and international commercial transactions.

The Legal Counsel, Commercial will draft and negotiate enterprise SaaS agreements, data processing and privacy agreements, as well as referral, professional service, vendor and other third-party agreements and legal documents. You will also advise business teams on the various legal issues and risks, business strategies, and other issues related to technology transactions. Excellent legal and business judgment and the ability to work in a fast-paced startup environment are critical. You must be collaborative, able to prioritize responsiveness and service to internal clients, and have excellent interpersonal skills. Experience supporting an enterprise sales organization and understanding of the payments industry is preferred.

Responsibilities will include:

  • Structuring, drafting and negotiating a variety of commercial agreements, including enterprise SaaS MSAs, SOWs, DPAs and NDAs
  • Counseling on privacy, data protection and compliance issues
  • Analyzing significant and unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations and internal corporate policies
  • Acting as a trusted advisor to executive management, sales, marketing and support teams
  • Working with major telecommunication providers for the provision of billing and payment solutions
  • Coordinating contract management policies, document retention systems, and a range of policies and procedures for Vindicia Legal
  • Providing legal analysis and risk assessments to team members, and participating in business decision-making processes
  • Assisting in the ongoing development of standard terms and legal forms

The ideal candidate will possess:

  • A minimum of 5 years legal experience, including experience serving as in house counsel with software and/or SaaS companies
  • A working understanding of GDPR, CCPA and global privacy laws and regulations, as well as relevant experience relating to privacy law compliance
  • The ability to balance legal risk against business opportunity
  • An ambition to build frictionless and productive internal client relationships
  • Strong negotiation skills
  • Outstanding oral and written communication skills
  • Motivation to take ownership of projects and get things done with minimal oversight
  • Real passion for detail, highly developed organizational skills, and excellent follow-through
  • Expertise in supporting multiple projects and priorities efficiently in a rapidly changing environment
